These Terms and Conditions (“Terms”) govern your use of SMEPay, a product of Typof Technologies Pvt. Ltd. (“Typof,” “we,” “us,” or “our”). By registering for or using SMEPay (the “Services”), you agree to be bound by these Terms. If you do not agree, please do not use the Services.

1. Corporate Entity

SMEPay is offered by Typof Technologies Pvt. Ltd., an Indian private limited company, having its registered office at 203, 2ND FLOOR, BHAGWAT VILLA BRIT COLONY, NAYAPALLI, BHUBANESWAR, ODISHA, INDIA - 751012.

2. Definitions

• User, you, your: any individual or entity using the Services.
• Account: your registered user account on the SMEPay platform.
• Wallet: the prepaid balance you maintain with SMEPay to pay service fees.
• Partners: PhonePe, Setu, and Decentro, who provide underlying UPI settlement and KYC verification.
• Services: The SMEPay platform, including QR Code payments, Payment Links, Payment Pages, Product Pages, JS Widget, real-time tracking, and invoicing.

3. Eligibility & Account Registration

Eligibility: Must be at least 18 years old, resident of India, and legally capable of contracting.

Registration & KYC: You must register for an Account, submit accurate business and KYC documents. Typof collects and shares these with our Partners for identity verification and AML compliance. Typof is not responsible for Partners’ verification decisions or timelines.

Account Security: Maintain confidentiality of login credentials. Notify support[at]smepay[dot]io immediately of any unauthorised use.

4. Services & Fees

• Zero Commission: No percentage fee on incoming payments.
• Flat Transaction Fee: A standard fee of ₹3 is charged for each successful payment you receive via SMEPay. This fee may be adjusted based on customer demand and operational considerations; any change will be notified on-platform in advance.
• Wallet Top-up: You must preload your Wallet (minimum ₹100) before receiving payments. Transaction fees are automatically deducted upon each successful payment.
• Feature Access: Automatic QR: For verified merchants. Manual QR: For all users. Payment Links/Pages/Product Pages/JS Widget: As per our feature documentation.
• Third-Party Processing: All UPI transactions are routed, settled, and disputed through our Partners. Settlement timelines and disputes follow each Partner’s terms.

5. User Obligations & Prohibitions

Use Services only for lawful transactions under UPI regulations and the Information Technology Act, 2000.

• Fraud, money laundering, or unauthorized activities.
• Reverse-engineering or tampering with our APIs or code.
• Transmitting malware or unsolicited communications.

Report suspicious activity or security breaches to support[at]smepay[dot]io immediately.

6. Intellectual Property

Ownership: Typof and its licensors retain all rights to SMEPay’s software, branding, documentation, and content.

License: We grant you a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.

7. Disclaimers & Limitation of Liability

No Warranty: SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND.

Liability Cap: Typof’s aggregate liability for direct damages is limited to ₹1,000. We are not liable for indirect, consequential, or special damages.

8. Indemnification

You agree to defend, indemnify, and hold Typof, its officers, directors, employees, and agents harmless from any claims, losses, or expenses (including legal fees) arising out of your breach of these Terms or misuse of the Services.

9. Termination

• By You: Close your Account anytime by contacting support.
• By Us: We may suspend or terminate your Account for breach, prohibited conduct, or at our discretion, without prior notice.
• Post-Termination: Rights under these Terms cease immediately; we may retain necessary data as required by law.

10. Governing Law & Disputes

These Terms are governed by the laws of India. Exclusive jurisdiction and venue lie with the courts in Delhi.

11. Amendments

We may update these Terms by posting revised Terms on our website with a new “Last updated” date. Continued use constitutes acceptance.
